1. Introduction

These Terms & Conditions (“Terms”) govern the access to and use of the website, platform, applications, communication tools, and services (“Services”) provided by S P SERVICES, having its registered business address at 01, Akola Bazar, Khamgaon Rathi Complex, Gandhi Chauk, Buldhana, Maharashtra – 444303, India.

By accessing, browsing, registering, or using any part of our Services, including communication via WhatsApp Official API, RCS messaging, SMS, email, or other digital channels, you (“User”, “Client”, or “Customer”) agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

These Terms are drafted in accordance with applicable Indian laws, including the Information Technology Act, 2000, applicable rules, and Meta Business Messaging Policies.

2. Definitions

  • “Company”, “We”, “Us”, or “Our” refers to S P SERVICES.
  • “User” or “Client” refers to any individual, business, or legal entity using our Services.
  • “Platform” refers to our website, dashboards, APIs, tools, and integrations.
  • “Messaging Services” include WhatsApp Business API, RCS messaging, SMS, and related communication services.
  • “Meta” refers to Meta Platforms Inc., including WhatsApp.
  • “RCS” refers to Rich Communication Services provided through telecom operators.
  • “Content” means messages, templates, data, media, and materials submitted by Users.

3. Acceptance of Terms

By registering an account, signing up for services, making payments, or using any messaging or communication facility provided by S P SERVICES, you expressly confirm that:

  • You have read and understood these Terms
  • You have the legal authority to enter into this agreement
  • You agree to comply with all applicable laws and platform policies

Electronic acceptance shall be treated as legally valid consent under Indian law.

4. Description of Services

S P SERVICES provides professional communication and messaging solutions, including but not limited to:

  • WhatsApp Official Business API integration
  • RCS messaging services
  • Customer notification and engagement solutions
  • Message template management
  • Analytics, reporting, and delivery tracking
  • Business communication support services

We act as a technology service provider and facilitator, not as the originator of user content.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be legally capable of entering into contracts
  • Use the Services for lawful business purposes only
  • Comply with Meta, telecom operator, and regulatory requirements

We reserve the right to suspend or deny access if eligibility requirements are not met.

6. Account Registration

Users may be required to create an account by providing accurate and complete information, including business details and authorized contact information.

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities conducted through your account
  • Immediately notifying us of unauthorized use

S P SERVICES is not liable for losses arising from compromised credentials.

7. User Responsibilities

Users agree that they shall not:

  • Send spam, unsolicited, or misleading messages
  • Violate Meta, WhatsApp, RCS, or telecom policies
  • Transmit unlawful, harmful, or deceptive content
  • Impersonate others or misuse brand identities
  • Collect or process user data without consent

Users are solely responsible for the legality and accuracy of message content.

8. Payment & Billing Terms

Fees for Services shall be communicated in advance and may include:

  • Setup fees
  • Subscription charges
  • Per-message or usage-based fees
  • Applicable taxes (GST as per Indian law)

Payments must be made within the agreed timelines. Delayed payments may result in service suspension without notice.

9. Subscription Renewal & Termination

Subscriptions may be monthly, quarterly, or annual and may auto-renew unless canceled.

S P SERVICES reserves the right to:

  • Terminate accounts for violation of these Terms
  • Suspend services for non-payment or policy violations
  • Discontinue Services with reasonable notice

Termination does not waive outstanding payment obligations.

10. Use of WhatsApp Official API & RCS

Users acknowledge that:

  • WhatsApp and RCS are governed by third-party policies
  • Message delivery is subject to Meta and telecom approval
  • Template approval and sender verification are mandatory

S P SERVICES does not control approval decisions made by Meta or telecom operators.

11. Message Delivery & Compliance Policy

While we strive for high delivery rates, message delivery depends on:

  • Network conditions
  • User device availability
  • Platform restrictions
  • Regulatory filtering

We do not guarantee 100% delivery and are not liable for delays or failures beyond our control.

12. Intellectual Property Rights

All platform software, trademarks, designs, and documentation are the exclusive property of S P SERVICES.

Users retain ownership of their content but grant us a limited license to process it solely for service delivery.

Unauthorized use of intellectual property is strictly prohibited.

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary and business information exchanged during service usage, except where disclosure is required by law.

14. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and uninterrupted availability.

15. Limitation of Liability

To the maximum extent permitted by law, S P SERVICES shall not be liable for:

  • Indirect or consequential damages
  • Loss of data or business
  • Platform-level suspensions or bans

Our total liability shall not exceed the fees paid by the User in the preceding three months.

16. Indemnification

Users agree to indemnify and hold harmless S P SERVICES from claims arising from:

  • User content
  • Policy violations
  • Regulatory non-compliance
  • Unauthorized data usage

17. Governing Law (India)

These Terms shall be governed by and construed in accordance with the laws of India. Courts at Buldhana, Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

We may update these Terms periodically. Continued use of Services constitutes acceptance of revised Terms.
